Terms & Conditions
These Terms & Conditions (“Terms”) govern the use of aagiits.com and, where applicable, the supply of products and services by AAG IITS Ltd.
Please read these Terms carefully before using our website, requesting or accepting a quotation, opening or using an account, or placing an order.

2. Scope of These Terms
These Terms apply, where relevant, to:
use of our website;
purchases made through our website;
quotations and proposals issued by AAG IITS;
orders placed directly with us;
IT hardware and technology products;
software and licensing;
networking and infrastructure products;
specialist sourcing and procurement;
back-to-back and special procurement orders;
consultancy, technical support and other services;
approved customer accounts and credit terms; and
other transactions into which these Terms are incorporated.
A quotation, proposal, order confirmation, statement of work or other written agreement may contain additional terms specific to a transaction.
Where expressly agreed transaction-specific terms conflict with these general Terms, the specifically agreed terms will take precedence for that transaction, subject to applicable law.
3. Consumers and Business Customers
Some provisions apply differently depending on whether the customer is a consumer or a business.
A consumer is an individual acting wholly or mainly for purposes outside their trade, business, craft or profession.
A business customer is a person or organisation acting wholly or mainly for purposes relating to their trade, business, craft or profession.
If you place an order on behalf of a business or organisation, you confirm that you have authority to bind that organisation.
Nothing in these Terms excludes or restricts a consumer's statutory rights where it would be unlawful to do so.
4. Website and Product Information
We take reasonable care to ensure that information displayed on our website is accurate.
Product photographs, specifications, compatibility information, dimensions, descriptions and illustrations are provided to assist customers in identifying products.
Images may be illustrative. Colours and appearance may differ according to the display or device used.
Manufacturers may change packaging, presentation or non-material specifications without notice.
Where an exact specification, manufacturer part number, revision, compatibility requirement or other characteristic is essential, the customer should verify or clearly communicate that requirement before ordering.
If we discover a material error affecting an order, we will take reasonable steps to correct it and contact the customer where appropriate.
5. Products and Sources of Supply
AAG IITS may supply products from:
stock held by us;
manufacturers;
distributors;
wholesalers;
specialist suppliers;
authorised supply-chain partners; or
other legitimate commercial sources.
Products are subject to availability.
Availability shown or quoted at one point in time does not guarantee that the product will remain available until an order is accepted and, where applicable, procurement is completed.
We will not knowingly substitute a materially different product without the customer's agreement.
6. Quotations
A quotation may specify:
products or services;
quantities;
specifications;
price;
VAT;
delivery charges;
estimated or agreed lead times;
payment requirements;
quotation validity;
account terms;
back-to-back or special procurement status; and
other transaction-specific conditions.
Unless expressly stated otherwise, a quotation is an invitation for the customer to place an order and does not by itself oblige AAG IITS to supply.
Supplier prices, exchange rates, availability and logistics costs can change. A quotation may therefore remain valid only for the period stated on it.
A quotation accepted after its stated validity period is subject to reconfirmation by AAG IITS.
7. Customer Requirements
Customers are responsible for providing complete and accurate requirements.
Before confirming an order, customers should check, where relevant:
product description;
manufacturer;
manufacturer part number;
model or revision;
specifications;
compatibility;
quantity;
licence requirements;
delivery address; and
any special procurement conditions.
Where AAG IITS has expressly undertaken to identify or recommend a suitable product based upon requirements supplied by the customer, our applicable legal and contractual responsibilities are not affected by this section.
8. Placing an Order
An order may be placed through our website or through another ordering process accepted by AAG IITS.
Submitting an online order, purchase order or other order request does not necessarily mean that AAG IITS has accepted it.
An automated acknowledgement confirms receipt only unless it expressly states that the order has been accepted.
Customers should correct any errors before submitting an online order.
9. Acceptance and Formation of Contract
A contract is formed when AAG IITS accepts the customer's order.
Acceptance may be communicated by:
an express order confirmation;
written acceptance;
confirmation that procurement has commenced;
dispatch confirmation; or
another clear indication that the order has been accepted.
For back-to-back or special procurement transactions, acceptance may be conditional upon receipt of the required cleared payment.
Before acceptance, we may decline an order for reasons including:
lack of availability;
inability to source the product;
obvious pricing or description errors;
inability to obtain payment;
delivery restrictions;
legal or regulatory restrictions;
suspected fraud or misuse; or
circumstances reasonably preventing fulfilment.
If we cannot accept an order for which payment has already been received, the applicable payment will be refunded unless another arrangement is agreed.
10. Purchase Orders and Customer Terms
A business customer's purchase order is treated as an order for the products or services identified in it.
Unless AAG IITS expressly agrees otherwise in writing, issuing or accepting a purchase order does not mean that we accept additional or conflicting terms printed on, attached to or incorporated into the customer's purchase order, procurement portal or other purchasing documentation.
Our quotation, any expressly agreed transaction-specific terms and these Terms will govern the transaction.
Any variation must be expressly agreed by AAG IITS.
11. Back-to-Back and Special Procurement Orders
Some products are sourced specifically in response to a customer's confirmed requirement rather than supplied from stock already held by AAG IITS.
These transactions may be described as:
back-to-back orders;
special procurement orders;
special sourcing orders; or
similar terminology communicated in the quotation or order documentation.
Under a back-to-back arrangement, AAG IITS may receive the customer's confirmed order and payment before placing a corresponding order with a manufacturer, distributor, supplier or other supply-chain partner specifically to fulfil that requirement.
Unless account terms or another payment arrangement have been expressly approved for that particular transaction, we may require full payment in advance before committing funds to the upstream supplier.
Material special conditions affecting the order will be communicated before the customer becomes contractually committed.
12. Back-to-Back Orders — Business Customers
A back-to-back order from a business customer may cause AAG IITS to make an immediate commercial commitment to an upstream supplier specifically because the customer has confirmed the order.
Once AAG IITS has:
placed the corresponding supplier order;
committed funds to a supplier;
accepted a non-cancellable supplier commitment;
incurred procurement or logistics costs; or
otherwise materially commenced fulfilment,
the order may no longer be freely cancellable by the business customer.
A cancellation request does not automatically require AAG IITS to cancel its corresponding supplier commitment.
Where cancellation is requested, we will consider whether cancellation remains commercially possible.
Where a cancellation or refund is accepted, the amount refundable may take account of reasonable, demonstrable and irrecoverable costs arising directly from the order, including where applicable:
supplier payments;
supplier cancellation charges;
supplier restocking charges;
procurement costs;
shipping or freight;
customs or import costs;
payment-processing costs where irrecoverable;
currency-conversion costs or losses;
return-to-supplier charges; and
other reasonable costs directly caused by the cancellation.
Where the upstream supplier does not permit cancellation or refund and AAG IITS has made an irreversible commitment specifically to fulfil the business customer's confirmed order, the corresponding amount may be non-refundable to the extent permitted by law and the agreed terms of the transaction.
This does not permit AAG IITS to retain money without a lawful or contractual basis.
13. Back-to-Back Orders — Consumers
Where the customer is a consumer, applicable statutory consumer rights continue to apply.
The fact that AAG IITS purchases an otherwise standard product from a supplier only after receiving a consumer's order does not by itself make that product bespoke or remove a statutory cancellation right.
Different rules may apply where goods are genuinely made to the consumer's specifications, clearly personalised or otherwise subject to a statutory exception.
Where an exception materially affects cancellation rights, the relevant information will be provided before the consumer becomes bound by the contract.
Nothing in this section affects rights relating to faulty, incorrect, damaged or misdescribed goods.
14. Prices and VAT
Prices will be stated in the currency shown on the website, quotation or transaction documentation.
VAT will be included or separately identified as applicable and as required by law.
Mandatory delivery charges or other mandatory costs will be disclosed before an online consumer order is submitted or otherwise agreed as part of the transaction.
Prices may change before an order is accepted.
An accepted order will not normally be affected by a subsequent price change unless permitted by law or expressly agreed.
Obvious pricing errors may be corrected before acceptance.
15. Payment
The applicable payment terms will be shown during checkout, stated in our quotation or invoice, or otherwise expressly agreed.
Depending upon the transaction, AAG IITS may require:
payment in full at checkout;
full payment before dispatch;
full payment in advance for back-to-back procurement;
a deposit followed by a balance;
staged payments;
payment under approved account terms; or
another arrangement expressly agreed in writing.
For special procurement, AAG IITS may delay placing the corresponding supplier order until the required cleared funds have been received.
Customers must be authorised to use the payment method provided.
16. Approved Account Customers
AAG IITS may, at its discretion, approve business customers for an account facility or credit terms.
Account facilities are subject to approval and may include:
a credit limit;
an agreed payment period;
order limits or restrictions;
transaction-specific conditions; and
other credit controls.
Account approval is not an entitlement and may be reviewed periodically.
Granting credit on one transaction does not oblige AAG IITS to provide credit on future transactions.
17. Account Payment Terms
Customers on approved account terms must pay invoices in full by the due date shown on the invoice or otherwise expressly agreed.
Unless expressly agreed otherwise, an account facility applies only to the approved business customer and may not be transferred.
AAG IITS may undertake reasonable credit, identity or business-verification checks in connection with granting or reviewing an account.
We may establish or vary credit limits and may require payment before accepting an order that would exceed available credit.
18. Account Customers and Special Procurement
Normal account terms do not automatically apply to every order.
Back-to-back, bespoke, special procurement, unusually high-value or otherwise exceptional orders may require:
full payment in advance;
a deposit;
partial upfront payment; or
another transaction-specific payment arrangement,
even where the customer normally purchases using account terms.
Any departure from the customer's normal account terms will be communicated for the relevant transaction before the customer becomes contractually committed.
Conversely, AAG IITS may expressly approve a back-to-back or special procurement transaction for account terms.
19. Overdue Business Accounts
Where a business customer's invoice becomes overdue, AAG IITS may, subject to applicable law:
suspend further deliveries;
suspend procurement;
suspend services;
place the account on hold;
reduce or withdraw the credit facility;
require future payment in advance;
decline further orders;
recover amounts properly due; and
exercise applicable rights concerning interest and debt-recovery costs.
Where the statutory regime applies, AAG IITS reserves the right to claim statutory interest, fixed compensation and reasonable recovery costs available in respect of qualifying late commercial debts.
A genuine dispute concerning an invoice should be raised promptly through our Contact Us page.
A dispute relating to one invoice does not automatically entitle a business customer to withhold undisputed amounts properly due under another invoice.
20. Payment Processing
Payments may be processed through third-party payment providers.
Where payment details are entered directly into a third-party payment provider's systems, AAG IITS may not receive or store complete card information.
Payment providers may process information under their own terms and privacy policies.
21. Delivery
Delivery methods, charges and relevant delivery information will be shown or communicated before the relevant transaction is completed.
Back-to-back and special procurement orders may have longer or variable lead times because fulfilment can depend upon third-party suppliers and logistics networks.
Where a delivery date or lead time is described as estimated, it is an estimate rather than a guaranteed delivery date.
Where AAG IITS expressly agrees a fixed delivery deadline, that agreement will apply.
Mandatory consumer delivery rights remain unaffected.
22. Supplier and Logistics Delays
We will take reasonable steps to fulfil accepted orders.
Where a delay outside our reasonable control affects a back-to-back or special procurement order, we will take reasonable steps to communicate material delays of which we become aware.
A supplier or logistics delay does not automatically entitle a business customer to cancel an otherwise non-cancellable special procurement order unless:
the contract provides otherwise;
AAG IITS agrees to cancellation; or
applicable law provides the customer with that right.
Consumer rights are unaffected.
23. Delivery Information
Customers must provide complete and accurate delivery information.
Where incorrect information provided by the customer causes additional costs or delays, reasonable resulting costs may be charged to the customer to the extent permitted by law.
Delivery may be carried out by third-party courier, postal, freight or logistics providers.
Delivery problems should be reported through our Contact Us page.
24. International Sourcing and Import Costs
AAG IITS may source products internationally.
Unless expressly included in our quoted price, any unusual transaction-specific customs, duties, import charges or other costs that the customer is expected to bear will be disclosed or agreed before the customer becomes bound by the transaction where required by law.
For business transactions involving specialist international sourcing, responsibility for particular import, freight or customs costs may be specified in the quotation.
25. Risk and Ownership
For consumers, risk passes in accordance with applicable consumer law.
For business customers, unless expressly agreed otherwise, risk in physical goods passes when the goods are delivered to the agreed delivery location.
To the extent permitted by law, ownership of goods does not pass until AAG IITS has received payment in full for those goods.
26. Our 30-Day Returns Policy
In addition to any statutory rights that may apply, AAG IITS offers a 30-day returns policy for eligible products.
A request to return an eligible product under this voluntary policy must be made within 30 days of delivery.
Unless the product is faulty, damaged, incorrect or not as described, products returned under the voluntary 30-day policy must be:
returned in their original condition;
complete with supplied accessories and components;
returned with original packaging where reasonably applicable; and
free from damage, misuse, alteration or unreasonable handling.
For change-of-mind returns under this voluntary policy, the customer is responsible for return postage unless AAG IITS has expressly agreed otherwise.
This voluntary 30-day policy does not replace, restrict or reduce any statutory consumer rights.
Certain products may be excluded from the voluntary 30-day policy where appropriate and lawful, including products that cannot reasonably be resold following activation, registration, personalisation or other circumstances disclosed before purchase.
27. Consumer Statutory Cancellation Rights
Our voluntary 30-day returns policy is separate from statutory consumer cancellation rights.
Consumers purchasing eligible goods at a distance normally have a statutory period in which they can cancel without giving a reason.
For most goods, the statutory cancellation period is normally 14 days beginning after the consumer, or a person nominated by them other than the carrier, receives the goods.
Where statutory cancellation rights provide greater protection in a particular circumstance, those statutory rights apply irrespective of our voluntary returns policy.
28. How Consumers Exercise a Statutory Cancellation Right
A consumer wishing to exercise a statutory cancellation right must clearly communicate the decision to cancel within the applicable period.

The request should contain sufficient information for us to identify the customer and order.
Where applicable law requires a model cancellation form to be made available, one will be provided.
29. Returning Goods Following Consumer Cancellation
Following a valid statutory cancellation, goods must be returned within the period required by law.
Where permitted and where the consumer was informed before purchase, the consumer may be responsible for the direct cost of returning change-of-mind goods.
Consumers may inspect and handle goods to the extent reasonably necessary to establish their nature, characteristics and functioning.
Where handling goes beyond what is reasonably necessary and diminishes the value of the goods, an appropriate deduction may be made where permitted by law.
30. Consumer Refunds
Where a consumer validly exercises a statutory cancellation right, AAG IITS will provide the refund required by law.
Where required, this will include:
the price paid for eligible goods; and
the cost of the least expensive standard delivery method offered.
Additional delivery costs resulting from the customer's choice of a more expensive delivery method need not be refunded where permitted by law.
Where permitted, reimbursement may be withheld until the goods have been received back or evidence of return has been supplied.
Refunds will be processed within the applicable statutory period.
31. Faulty, Damaged, Incorrect or Misdescribed Goods
The voluntary 30-day returns policy does not limit rights concerning faulty or non-conforming goods.
Where goods supplied to a consumer are faulty, damaged, incorrect, materially not as described or otherwise fail to meet applicable statutory requirements, we will deal with the matter in accordance with applicable consumer law.
Business customers should inspect goods within a reasonable period following delivery and report problems promptly.

32. Business Returns
Business customers do not automatically receive consumer statutory change-of-mind rights.
However, our voluntary 30-day returns policy may apply to eligible ordinary products purchased by business customers unless the quotation, product information or transaction-specific terms state otherwise.
Back-to-back, bespoke or specially procured business orders are generally outside the ordinary voluntary change-of-mind return policy once AAG IITS has committed to the upstream procurement, unless we expressly agree otherwise.
Where a discretionary business return is accepted, approval may depend upon:
condition of the goods;
original packaging;
whether the product has been used;
whether licences or subscriptions have been activated;
supplier return rights;
whether the item was specially procured;
return deadlines; and
reasonable costs associated with the return.
33. Return Postage
For an ordinary change-of-mind return under our voluntary 30-day policy, the customer pays the return postage unless otherwise agreed.
Where AAG IITS is legally responsible for return costs because goods are faulty, incorrect, damaged or otherwise non-conforming, we will deal with the return costs in accordance with applicable law.
Customers should contact us before returning goods where return instructions or authorisation are required.
34. Software, Licences, Subscriptions and Digital Products
Software, licences, subscriptions and digital products may be subject to additional terms imposed by the manufacturer, publisher, licensor or service provider.
Customers should check applicable compatibility and licence requirements before ordering.
Activation, registration, redemption or supply of a digital licence may affect the ability to return or cancel the product where permitted by law.
Where consumer law requires express consent and acknowledgement before digital content is supplied during a statutory cancellation period, the appropriate consent and acknowledgement will be obtained.
Statutory rights remain unaffected.
35. Services, Consultancy and Support
Where AAG IITS provides consultancy, support, managed services or other services, the applicable:
scope;
deliverables;
price;
payment schedule;
timescale; and
other requirements
may be stated in a quotation, proposal, statement of work or other agreement.
Services will be supplied with the level of care and skill required by applicable law.
36. Manufacturer Warranties
Products may include a manufacturer's warranty.
Warranty duration, scope and conditions are determined by the manufacturer or warranty provider.
A manufacturer's warranty is additional to, and does not replace, statutory consumer rights against AAG IITS where those rights apply.
37. Product Compatibility
Customers should review available compatibility information before ordering.
Where compatibility is critical and is not clear from the product information, customers should communicate the intended requirement before ordering.
Where AAG IITS expressly recommends a product for a particular stated purpose, applicable legal and contractual obligations remain unaffected.
38. Business Customer Responsibilities
Business customers are responsible for ensuring that products and services ordered meet their commercial requirements unless AAG IITS has expressly undertaken responsibility for determining suitability.
Business customers should accurately communicate relevant:
specifications;
part numbers;
quantities;
compatibility requirements;
regulatory requirements;
licensing requirements; and
delivery requirements.
39. Liability to Consumers
Nothing in these Terms excludes or restricts liability to consumers where doing so would be unlawful.
Nothing excludes or limits liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot legally be excluded or restricted.
Consumer statutory rights remain unaffected.
40. Liability to Business Customers
Nothing in these Terms excludes or restricts liability where doing so would be unlawful, including liability for death or personal injury caused by negligence or fraud or fraudulent misrepresentation.
Subject to the preceding paragraph and any expressly agreed transaction-specific terms, AAG IITS will not be liable to a business customer for indirect or consequential loss or loss of profit, revenue, business, contracts, anticipated savings or goodwill to the extent permitted by law.
Any transaction-specific limitation may be stated in the relevant quotation, proposal or agreement.
41. Events Outside Our Reasonable Control
AAG IITS will not be responsible for delay or failure caused by circumstances outside our reasonable control to the extent permitted by law.
These may include:
manufacturer or supplier shortages;
supply-chain disruption;
freight or transportation disruption;
customs delays;
industrial action;
telecommunications or technology failures;
natural events;
government restrictions;
war or civil disturbance; or
other circumstances we could not reasonably prevent.
Consumer statutory rights remain unaffected.
42. Fraud, Verification and Security
We may carry out reasonable checks to verify orders, payments, businesses or customer information where necessary to prevent fraud, misuse or unauthorised activity.
We may decline an order before acceptance or take other lawful action where reasonably necessary to protect AAG IITS, our customers, payment providers or suppliers.
43. Acceptable Use of Our Website
Users must not knowingly:
introduce malicious software or harmful code;
attempt unauthorised access;
interfere with website security;
materially disrupt website operation;
use the website for unlawful or fraudulent purposes; or
use automated systems in a manner that materially interferes with the website.
44. Intellectual Property
Unless otherwise stated, original content and branding created by or for AAG IITS is owned by or licensed to AAG IITS Ltd.
Third-party product names, trademarks, photographs, software and other intellectual property remain the property of their respective owners.
Website content must not be reproduced or commercially exploited without permission except where permitted by law.
45. Third-Party Websites and Services
Our website may contain links to third-party websites or services.
AAG IITS does not control third-party websites and is not responsible for their content, availability, terms or privacy practices.
Customers should review the relevant third-party information before using those services.
46. Privacy
We process personal data in accordance with our Privacy Policy, available through the website footer.
47. Cookies
Information about cookies and similar technologies is provided in our Cookie Policy, available through the website footer.
48. Complaints
Questions, problems or complaints concerning an order, quotation, product, service or our website should be submitted through our Contact Us page:

Please provide sufficient information for us to identify the relevant transaction and investigate the matter.
We will handle complaints reasonably and in accordance with applicable legal obligations.
49. Changes to These Terms
We may revise these Terms from time to time to reflect changes to our website, business, products, services or applicable law.
Revised Terms apply prospectively from publication as appropriate.
A revision will not retrospectively alter an existing contract unless:
required by law;
expressly permitted under the existing contract; or
agreed by the parties.
50. Severability
If any provision is found to be unlawful, invalid or unenforceable, it will be modified or removed to the minimum extent necessary.
The remaining provisions will continue in effect.
51. No Waiver
A delay or failure by AAG IITS to enforce a right does not automatically constitute a waiver of that right.
52. Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to a contract between AAG IITS and the customer has no right to enforce that contract.
53. Governing Law and Jurisdiction
These Terms and contracts governed by them are subject to the laws of England and Wales.
For consumers, this does not deprive you of mandatory legal protections available under applicable law or applicable rights concerning where proceedings may be brought.
For business customers, the courts of England and Wales will have exclusive jurisdiction unless otherwise expressly agreed in writing.
